These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and Cy4 Data Labs, Inc. ("Cy4," "we," "us," or "our") governing your access to and use of our website, software, APIs, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

1. Acceptance of Terms

By creating an account, accessing our website, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

Cy4 Data Labs provides Atomic-Level Encryption ("ALE") technology and related data security services. Our Services include field-level encryption, granular access control, key management, API integrations, and related tools designed to protect data at the individual field level. The specific features and functionality available to you depend on your subscription plan and any separate agreement between you and Cy4.

3. User Obligations

As a condition of your use of the Services, you agree to:

Provide accurate, current, and complete information when creating an account or submitting forms.
Maintain the confidentiality and security of your account credentials and promptly notify us of any unauthorized access.
Use the Services only for lawful purposes and in compliance with all applicable local, state, national, and international laws and regulations.
Not attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Services.
Not use the Services to transmit malicious code, engage in denial-of-service attacks, or otherwise interfere with the integrity or performance of the Services.
Not sublicense, resell, or redistribute access to the Services without our prior written consent.
Comply with all usage limits, rate limits, and other restrictions applicable to your subscription plan.

4. Intellectual Property

All rights, title, and interest in and to the Services, including all software, algorithms, documentation, trademarks, trade secrets, and other intellectual property, are and shall remain the exclusive property of Cy4 Data Labs, Inc. These Terms do not grant you any ownership interest in the Services, but only a limited, revocable, non-exclusive, non-transferable right to use the Services in accordance with these Terms.

You retain all rights to your data. By using the Services, you grant Cy4 a limited license to process your data solely as necessary to provide the Services to you. We will not access, use, or disclose your data except as required to deliver the Services, comply with the law, or as otherwise described in our Privacy Policy.

5. Fees and Payment

Certain Services require payment of fees as described in your subscription plan or order form. All fees are quoted in United States dollars unless otherwise specified. You agree to pay all applicable fees in accordance with the billing terms in effect at the time a fee is due. Unpaid amounts are subject to a finance charge of 1.5% per month or the maximum permitted by law, whichever is less. You are responsible for all taxes associated with your use of the Services, excluding taxes based on Cy4's net income.

6. Confidentiality

Each party agrees to hold in confidence all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Neither party shall use the other party's Confidential Information except as necessary to exercise its rights or fulfill its obligations under these Terms.

7. Warranties and Disclaimers

Cy4 warrants that the Services will perform materially in accordance with the applicable documentation during the term of your subscription. If the Services fail to conform to this warranty, your exclusive remedy is for Cy4 to use commercially reasonable efforts to correct the nonconformity.

EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." CY4 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CY4 DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CY4 DATA LABS, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF CY4 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

CY4'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO CY4 DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Cy4 Data Labs, Inc. and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

Either party may terminate these Terms at any time by providing written notice to the other party. Cy4 may suspend or terminate your access to the Services immediately if you breach any provision of these Terms or if we are required to do so by law. Upon termination, your right to access and use the Services will cease immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination.

Upon termination, you may request a copy of your data within thirty (30) days. After this period, we may delete your data in accordance with our standard data retention practices.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of such courts.

12. Modifications

Cy4 reserves the right to modify these Terms at any time. When we make changes, we will update the "Effective Date" at the top of this page and, for material changes, provide reasonable advance notice via email or through the Services. Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the updated Terms.

13. General Provisions

These Terms constitute the entire agreement between you and Cy4 with respect to the Services and supersede all prior agreements, understandings, and representations. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Cy4's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. You may not assign or transfer these Terms without Cy4's prior written consent. Cy4 may assign these Terms without restriction.
